42.1 million new shares were issued, lifting the count sharply and giving Gilinski about 56.3% of the company.
Tender
A US$100 million offer at US$12.22 per share must start within 90 days, above the US$10.70 price when the event hit.

1 · What happened
What happened
GeoPark transferred 42,135,872 common shares to Panamerican Energy Holdings, which closed out its purchase of the Bare Block holding company and the 95% that remained. Stock covered the whole price, and no cash acquisition payment was made. Grupo Gilinski now holds about 56.3% of outstanding shares.
Within 90 days of closing, Grupo Gilinski must begin buying stock from other holders. The price is US$12.22 per share, and the total is capped at US$100 million. That offer has not started. Additional shares, as many as 5,421,589, may follow if the company meets Venezuelan targets on corporate income tax, and that deadline now falls on December 1, 2026.
The terms
2 · Why it matters
Why it matters
Control has moved to a single holder, and outside shareholders now deal with a majority owner that can nominate at least five directors. The all stock structure preserves cash, but it dilutes existing holders and concentrates voting power.
The US$12.22 tender price is the closest dated item ahead for the stock, since it sits above the US$10.70 level when the filing hit. Crossing 70% ownership would trigger a further offer priced at no less than the 30 day VWAP.
What to watch next
- 01Whether the US$100 million tender at US$12.22 per share launches within 90 days of the November 2, 2026 closing.
- 02Whether up to 5,421,589 milestone shares are issued by the December 1, 2026 deadline, which could lift Gilinski to about 58.4%.
- 03Whether GeoPark takes over operations at the Bare Block before the end of 2026, when financial consolidation begins.
