The full story, in short
Meta closed a $12.5B mandatory convertible preferred sale and a $25B forward common sale. In four prior financing days the stock averaged a 3.9% next day decline, none of them up. Holders face preferred dividends ahead of any common payout and a pause on buybacks.
When the filing hit, the shares traded at $618.55, down 0.96% from the $624.52 close on October 29. Past reactions do not predict the next one.
What it means for holders
Dilution
The preferred converts into 1.3620 to 1.6000 Class A shares each by about August 2029, and 40 million common shares sit behind the forwards.
Buybacks
Until preferred dividends are paid, Meta cannot repurchase junior stock, and it cannot declare a common dividend either.
Cash
The $12.5B preferred leg closed in cash, but the $25B common leg pays nothing until the forwards settle on or before November 19, 2027.
1 · What happened
What happened
Meta closed two offerings on October 29, 2026: 250 million Series A depositary shares at $50.00 each and 40 million Class A shares at $625.00. The preferred leg raised $12.5B and the common leg $25.0B.
The common shares were sold under forward arrangements, with an opening forward price of $622.91875 per share. Meta collects nothing on that leg until the forwards settle, and it controls the timing on or before November 19, 2027. Each preferred share pays $65.00 a year and converts on or about August 15, 2029.
The terms
2 · Why it matters
Why it matters
The preferred dividend ranks ahead of anything paid to common holders, and unpaid preferred dividends bar common dividends and buybacks. That removes a tool that has supported the share price.
The raise funds an AI buildout that now runs past what Meta generates in cash. Set beside a $1.6 trillion market value, the dilution looks modest, but the structure changes who gets paid first.
What to watch next
- 01Whether the 30 day over allotment options are used for 37.5 million more depositary shares and 6 million more common shares.
- 02The January 19, 2027 charter date, when the Class C stock dividend takes effect and both the preferred and the forwards start referring to Class C stock.
- 03The forward settlement deadline of November 19, 2027, when the $25B common proceeds finally reach the company.
